1. Purpose and scope
These terms and conditions of sale apply to all services provided by Le Monde Digital: websites and online stores, web and mobile applications, search engine optimisation (SEO), online advertising (SEA), digital marketing, social media management, graphic design, UX / UI design, automation, artificial intelligence, maintenance, support, consulting and audits.
They are intended solely for business customers (companies, self-employed people, independent professionals, associations) ordering for the needs of their activity. Our services are not offered to consumers: when ordering, the customer confirms its business status by providing its SIRET number (or RNA number for an association), or its foreign equivalent.
Any order implies acceptance of these terms, which prevail over the customer's purchasing conditions unless otherwise agreed in writing. The applicable version is the one in force on the date the quote is accepted.
2. The service provider
Services are provided by Le Monde Digital, the trading name of Ansen Thandrayen EI, sole trader (micro-enterprise), SIREN 840 429 609, SIRET 840 429 609 00034, whose registered office is 142 rue de Rivoli, 75001 Paris. Contact: contact@le-monde-digital.fr, 09 51 54 70 90.
For some assignments, the provider may work with independent professionals from its network. The provider then remains the customer's sole contact and is responsible for the proper performance of the service.
3. Quotes and orders
Each service is subject to a free, detailed quote, normally sent within 48 hours of the first discussion. It sets out the content of the service, the price, the payment schedule, the estimated timeline and what is not included.
Unless stated otherwise, the quote is valid for 30 days. The order becomes firm once the signed quote (marked "Bon pour accord", i.e. "approved") or the acceptance by email has been received, together with the deposit.
Any request outside the scope of the quote (additional page, feature or content, change of direction after an approval) is subject to an additional quote, accepted before the work is carried out.
4. Prices
Prices are in euros. Le Monde Digital benefits from the VAT franchise scheme: VAT not applicable, article 293 B of the French General Tax Code. The price shown is therefore the price you pay.
Prices shown on the website ("from") are indicative: only the price in the accepted quote is binding.
Unless stated otherwise in the quote, the following are not included: domain name, hosting, subscriptions to third-party platforms and tools (Shopify, for example), paid licences (themes, plugins, fonts, photos), advertising budgets (Google Ads, Meta), developer accounts (Apple, Google Play) and payment processing fees. These costs are paid directly by the customer to its suppliers, in its own name.
5. Payment
Unless the quote sets out a different schedule, a project (website, online store, application, design…) is paid in three instalments:
- 10% on acceptance of the quote (deposit), which starts the project;
- 30% on approval of the mock-up (or, for a service without a mock-up, at the intermediate stage stated in the quote);
- 60% on delivery, before going live.
Monthly payments. At the customer's request and with the provider's agreement, payment can be spread over monthly instalments, free of charge. The number, amount and dates of the instalments are then set out in the accepted quote.
Monthly plans (SEO, advertising, marketing, social media, maintenance) are invoiced at the start of each month, for the current month.
Invoices are payable on receipt, by bank transfer, to the details shown on the invoice. No discount is given for early payment.
6. Late payment
Any late payment automatically incurs, without prior reminder, late-payment interest at the rate applied by the European Central Bank to its most recent refinancing operation plus 10 percentage points, together with a fixed recovery fee of €40 (articles L. 441-10 and D. 441-5 of the French Commercial Code). If the recovery costs actually incurred are higher, additional compensation may be claimed on presentation of evidence.
After a formal notice that remains unanswered for 8 days, the provider may suspend ongoing work and services (including monthly plans) until full payment. Where payment is made in monthly instalments, an unpaid instalment then makes the entire outstanding balance immediately due.
7. Timelines and cooperation
The timelines in the quote are estimates. They start once the deposit and the items needed for the project have been received.
The customer provides the content (texts, photos, logos), information and access needed within the agreed timelines, and appoints a contact person available for approvals. Any delay on the customer's side postpones the schedule accordingly, and the provider cannot be held responsible for it.
The customer warrants that it holds the rights to the items it provides and that their use does not infringe third-party rights (copyright, trademarks, image rights).
If the project remains on hold for more than 2 months because of the customer (content or approvals not provided), the provider may, after informing the customer in writing, close the project and invoice the work already done.
8. Approval, delivery and going live
The customer approves the key stages of the project in writing (an email is enough): mock-up, content, test version. A change requested after a stage has been approved may be subject to an additional quote.
On delivery, the customer has 8 days to report any defects in writing. If no reservation is made within this period, or as soon as the project goes live if this happens earlier, the service is deemed accepted.
The project goes live after this check and once the balance (or the instalment due on delivery) has been paid.
9. Warranty and support
The provider fixes free of charge any defects (bugs) reported during the warranty period stated in the quote: 3 months after delivery for web and mobile applications, and during the support included in some website plans (for example 1 month in the Pro plans). If the quote does not specify it, the warranty lasts 1 month after delivery.
The warranty does not cover changes and new features, nor problems caused by a change made by the customer or a third party, or by the update or failure of a third-party service (host, platform, plugin, browser). Such work falls under a maintenance contract or a quote.
10. Intellectual property
Once the project has been paid in full, the customer owns the website or application delivered, its texts and its design: the provider assigns to the customer the rights to reproduce, display and adapt the works created specifically for it, worldwide and for the entire duration of the rights. The source code is handed over on request.
Until payment is complete, these works remain the property of the provider and the customer only has a temporary right of use.
Licensed items (themes, plugins, code libraries, fonts, stock photos and illustrations) remain subject to their publishers' terms. The provider's general tools, methods and know-how, reusable from one project to another, remain its property.
The provider only mentions the customer's name, logo or project in its references (website, social media) with the customer's written consent.
11. Monthly plans and termination
Monthly plans (SEO, advertising, marketing, social media, maintenance) have no minimum term. The customer can end them at any time by simple email: termination takes effect at the end of the current month, which has already been invoiced and is not refunded.
The provider may also end them, in writing, with 1 month's notice.
The customer can stop a project (website, application…) at any time in writing: amounts already paid remain due to the provider and any work done beyond them is invoiced according to progress. In the event of a serious breach by either party, the other may terminate the order after a formal notice that remains unanswered for 15 days.
12. Results and liability
The provider has an obligation of means: it applies its expertise and the good practices of the profession. Search engine rankings, traffic, sales or the results of advertising campaigns depend on external factors (Google algorithms, competition, budget, market) and cannot be guaranteed.
The provider is not liable for indirect damage (loss of revenue, customers or data), nor for interruptions or changes to third-party services (host, platforms, social networks, advertising networks). The customer is advised to keep a copy of its content.
In all cases, the provider's liability is limited to the amount paid by the customer for the service concerned (for a monthly plan: to the amounts paid over the last 12 months).
13. Force majeure
Neither party is liable for any delay or failure to perform caused by force majeure, within the meaning of article 1218 of the French Civil Code. The obligations concerned are suspended for its duration; if it lasts more than 2 months, either party may terminate the order in writing, without compensation.
14. Confidentiality
Each party keeps confidential any non-public information received from the other (business data, documents, access), during the service and for 2 years after it ends. Logins and passwords entrusted to the provider are used only for the service.
15. Personal data
The data of customers and prospects (contacts, exchanges, invoicing) is processed by Le Monde Digital to manage the business relationship, as described in the privacy policy.
When the service involves processing personal data on behalf of the customer (for example messages received through a website's forms, an email list or an online store's customers), the provider acts as a processor within the meaning of article 28 of the GDPR: it processes this data only on the customer's instructions and for the service, ensures its security and confidentiality, and deletes or returns it at the end of the assignment. The customer remains responsible for the compliance of its website (legal notice, privacy policy, cookie consent), which the provider can help to set up.
16. Governing law and disputes
These terms are governed by French law. In the event of a disagreement, the parties first seek an amicable solution, in writing, for 30 days. Failing that, the dispute is brought before the competent courts for the provider's registered office, unless mandatory legal provisions state otherwise.
